Affiliate Agreement

1. Introduction

This agreement outlines the terms and conditions for participation in the Apercu Affiliate Program. “Affiliate” refers to you (the applicant), and “Apercu” refers to Apercu (Pty) Ltd., with whom this agreement is established. By applying to the Apercu Affiliate Program, you confirm that you have read, understood, and agree to the terms and conditions outlined herein.

2. Affiliate Registration

Any Apercu client may enroll as an Affiliate. Activation of Affiliate status is managed through the Apercu ASAP Hub. Each account is intended for use by a single legal entity (e.g., a company or partnership) or an individual. Sharing login credentials with others or using the account across multiple users is strictly prohibited. You are solely responsible for securing your issued usernames and passwords. The Affiliate Program may not be used for illegal or unauthorized purposes. Participation must comply with all applicable laws, including copyright regulations.

3. Referral Requirements

As an active Affiliate, you are required to:

  • Maintain at least one (1) active subscription to an Apercu service.
  • Refer at least one (1) new client to Apercu every six (6) months. Failure to meet these requirements will result in the suspension of commission accrual until compliance is restored.

4. Affiliate Program Benefits

Affiliates earn a Fixed Rate and/or Percentage commission on eligible services. Commissions are generated upon client sign-up and renewal of services, whether monthly or annually.

5. Commission Structure

  • Commissions are earned when a referred client completes an order and submits full payment for an Apercu service.
  • Only sales generated through properly structured and tracked Affiliate links qualify for commissions. It is the Affiliate’s responsibility to ensure correct link implementation.
  • Commission details are accessible via the Affiliate Dashboard.
  • Commissions remain valid as long as the referred client maintains an active subscription.
  • Affiliates must verify commission accuracy via the Affiliate Dashboard within the Apercu ASAP Hub.

6. Payouts

6.1. Commission Structure

  • Commission Type: The Affiliate shall receive a percentage commission or a fixed fee per sale, based on the sales generated through their unique referral link.
  • Payment Method: Commission payments will be made via bank transfer or Netcash (whichever is preferred by the Affiliate). The Affiliate must provide accurate banking details or Payfast/Netcash details for payment purposes.

6.2. Payment Schedule

  • Commissions will be calculated at the end of each calendar month.
  • Payments will be made by the 15th of the following month.
  • A minimum payout threshold of R200 applies. If the Affiliate has not earned this amount, the commission will roll over to the next payment period until the minimum threshold is met.

7. Refund Policy

If a client requests a refund for a transaction that earned an Affiliate commission, the commission will be deducted from the Affiliate’s balance.

Refund Eligibility Conditions:

  • Service Non-Delivery
  • Defective or Non-Functioning Product
  • Misrepresentation or Incorrect Charges
  • Regulatory or Legal Compliance Issues
  • Early Cancellation

8. Affiliate Responsibilities

  • Affiliates are permitted to use Apercu’s branding and marketing resources available in the Affiliate section of the Client Portal or Website. Modification of logos and assets is prohibited.
  • Affiliates must not misrepresent themselves as official representatives of Apercu or directly advertise Apercu services in a manner that creates confusion. Competitive advertising of Apercu services is strictly prohibited.
  • Affiliates must not engage in deceptive or misleading promotional practices.
  • The distribution of unsolicited bulk emails (spam) referencing Apercu is strictly prohibited.

9. Termination

  • Either party may terminate this agreement at any time without prior notice.
  • Upon termination initiated by the Affiliate, no future commissions will be paid.
  • If Apercu terminates the agreement, Affiliates with a balance exceeding R200 will be paid within seven (7) days. Balances below R200 will be forfeited.
  • Apercu is not liable for future commission payments post-termination.

10. Governing Law

This agreement is governed by the laws of the Republic of South Africa. By accepting this agreement, the Affiliate consents to the jurisdiction of South African courts for any disputes. The prevailing party in any legal action is entitled to recover legal costs, including reasonable attorney’s fees.

11. Dispute Resolution

Parties agree to resolve disputes amicably. If unresolved, disputes will be subject to binding arbitration in South Africa. Legal action to enforce this agreement, including collection of unpaid invoices, entitles the prevailing party to recover legal fees and related costs. This section survives termination.

12. Modifications

Apercu reserves the right to modify this agreement at any time, including changes to commission rates, payment procedures, and program rules. Affiliates will be notified of significant updates.

  • “CoC Secrets Every Agent Should Know” (Upcoming) – R1200 | Affiliate Commission: Flat rate of R100 per course

2. Software Subscriptions

  • ASAP Hub Service Provider Subscription (for Estate Agents, Electricians, and Solar Installers) | Commission: 10% per sale (recurring on monthly/annual subscriptions)

3. Digital Products – Utility Appraisals

  • Basic Appraisal Certificate – R800 | Affiliate Commission: Flat rate – R150
  • Verified Appraisal Certificate – R1600 (Subject to change) | Affiliate Commission: Flat rate – R150

4. ATLiS Subscription & Warranty Management

  • For Manufacturers, Distributors & Installers | Commission Structure: 10% per sale (recurring)
